Terms of Service

These terms govern your access to and use of the Cardinal platform, website, and related services.

01Acceptance of Terms

By accessing or using Cardinal (the "Service"), operated by Cardinal ("Cardinal," "we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

02Description of the Service

Cardinal is an AI-powered software platform that assists real estate operators with tasks such as lead sourcing, property scoring, underwriting estimates, owner research, and outreach coordination. The Service aggregates data from public and third-party sources and applies automated models to produce estimates and suggestions.

03Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use by real estate operators and their teams.

04Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information and to keep it current.
We may suspend or terminate access that we reasonably believe violates these Terms or applicable law.

05Acceptable Use

You agree not to:

Use the Service for any unlawful, fraudulent, harassing, or deceptive purpose.
Contact any individual in violation of applicable communications laws (see Section 7).
Reverse engineer, scrape, resell, or attempt to derive the underlying models, source code, or data except as permitted by law.
Upload malicious code or interfere with the integrity or performance of the Service.
Use the Service to make credit, housing, employment, or insurance eligibility decisions, or for any purpose regulated by the Fair Credit Reporting Act (FCRA). The Service is not a consumer reporting agency and its outputs are not consumer reports.

06AI-Generated Outputs; No Warranty of Accuracy

The Service uses automated models to generate scores, valuations, owner-resolution results, and other outputs. These outputs are estimates, are provided for informational purposes only, and may be inaccurate, incomplete, out of date, or speculative. We do not warrant that any output is accurate or reliable, and outputs should never be treated as fact without independent verification.

07Communications and Outreach Compliance

If you use the Service to contact property owners or other individuals by phone, text, email, or other means, you are solely responsible for compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), Do-Not-Call (DNC) regulations, the CAN-SPAM Act, state calling and consent laws, and any applicable licensing requirements. You represent that you have a lawful basis for each contact you initiate. Cardinal provides tools to support compliance but does not provide legal advice and is not responsible for your outreach decisions.

08Your Responsibilities and Due Diligence

You are responsible for independently verifying any information before relying on it, and for conducting your own due diligence before making any acquisition, financing, valuation, or outreach decision. You should consult qualified professionals (legal, tax, financial, and real estate) as appropriate.

09Intellectual Property

The Service, including its software, models, design, and content, is owned by Cardinal and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

10Third-Party Data and Services

The Service relies on data and services provided by third parties. We do not control and are not responsible for the accuracy, availability, or practices of those third parties. Your use of third-party services may be subject to their own terms.

11Fees

If your access to the Service is subject to fees, those fees, billing terms, and any applicable pilot or trial conditions will be set out in a separate order or agreement. Unless otherwise stated, fees are non-refundable except where required by law.

12Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDINAL AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE PAID NOTHING.

14Indemnification

You agree to indemnify and hold harmless Cardinal and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your outreach activities, or your violation of these Terms or applicable law.

15Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive.

16Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in North Carolina for any dispute not subject to arbitration or small-claims resolution.

17Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
